NEW DEADLINE under the Act on the Introduction of the Euro in the Republic of Bulgaria regarding the redenomination of the capital of commercial companies
In connection with the introduction of the euro as the official currency in Bulgaria as of January 1 2026, we would like to draw attention to the legislative amendments regarding the update of the corporate documents of commercial companies.
The redenomination of the capital registered in the Commercial Register and the Register of Non-Profit Legal Entities (the CR) was carried out ex officio by the Registry Agency at the beginning of 2026.
In addition to the ex officio reflected capital redenominated into euro, commercial companies are obliged to adopt the necessary amendments to their corporate documents (articles of association, constitutive act, or bylaws) reflecting the change in their capital in compliance with the requirements of the Commerce Act (CA), and to disclose the updated documents in the Commercial Register.
On September 2, 2026, the National Assembly adopted on first and second reading, amendments to the Act on the Introduction of the Euro in the Republic of Bulgaria, extending the deadline for performing the aforementioned actions until December 31 2028.
By virtue of the law, the update of the corporate documents in connection with the redenomination of the capital must be carried out simultaneously with the first subsequent application for registration, deletion, or disclosure under the batch of the respective commercial company in the CR. In this regard, we recommend that the capital update be carried out simultaneously with the adoption and disclosure of the Annual Financial Statements (AFS) for 2025.
